RecordRoom Terms of Service

These Terms of Service ("Terms") govern your access to and use of RecordRoom, including the RecordRoom website, applications, community, and related services (collectively, the "Service").

RecordRoom is operated by 42Ten Media LLC, an Ohio limited liability company ("42Ten Media," "RecordRoom," "we," "us," or "our").

By creating an account, accessing, or using RecordRoom, you agree to these Terms. If you do not agree to these Terms, please do not use the Service.

1. About RecordRoom

RecordRoom is a collection-management service designed to help users catalog and organize physical music collections, including vinyl records, CDs, cassettes, box sets, and other physical media.

RecordRoom may provide tools that allow you to:

  • Search for albums and releases;
  • Add items using artist/title searches or barcodes;
  • Add collection items manually;
  • Store information about items you own;
  • Add personal notes, tags, condition information, and storage locations;
  • Upload cover images or other images associated with your collection;
  • Search and filter your collection;
  • Export collection information; and
  • Access RecordRoom community features.

RecordRoom is a collection-tracking service. Unless expressly stated otherwise, RecordRoom does not sell physical music, operate a marketplace, authenticate collectible items, appraise collections, or guarantee the market value of any item.

2. Eligibility and Accounts

RecordRoom is intended only for users age 18 and older. You must be at least 18 years old and legally capable of entering into a binding agreement to use RecordRoom. Anyone under 18 may not create or use a RecordRoom account.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account. You agree to provide accurate information when creating and maintaining your account and to promptly update information that changes.

You may not share your account credentials in a way that allows another person to impersonate you or gain unauthorized access to the Service.

If you believe your account has been compromised, please contact us promptly.

3. Subscription Plans

RecordRoom currently offers the following plans:

Free

$0 per year. Includes storage for up to 50 collection items.

Plus

$29 per year. Includes storage for up to 150 collection items.

Unlimited

$49 per year. Includes unlimited collection items, subject to reasonable technical and acceptable-use limitations.

Access to the RecordRoom community is available to users of all current subscription plans, including the Free plan, subject to these Terms and any applicable Community Guidelines.

We may change available plans, features, collection limits, or pricing in the future. Any pricing change affecting an existing paid subscription will be communicated before it takes effect and will not retroactively change fees already paid for the current subscription term.

Additional promotional or introductory pricing may occasionally be offered, including promotional discount codes, partner-specific codes, and referral offers or incentives. Promotional terms will be disclosed when the promotion is offered, and the specific terms presented with a particular offer control where applicable.

4. Paid Subscriptions and Billing

Paid RecordRoom subscriptions are billed annually.

Payments are processed by a third-party payment processor, currently Stripe. We do not directly store your complete payment-card information.

By purchasing a paid subscription, you authorize the applicable subscription fee and any applicable taxes to be charged using your selected payment method.

Unless otherwise disclosed at the time of purchase, paid subscriptions automatically renew for successive annual terms until canceled.

You may cancel a paid subscription through the account or billing controls made available by RecordRoom. Cancellation prevents the next renewal charge but does not ordinarily terminate access to paid features before the end of the subscription period already paid for.

Subscription fees are generally non-refundable except where required by law or where RecordRoom expressly agrees otherwise.

If your payment cannot be processed, we may ask you to update your payment information and may limit paid features if payment remains unsuccessful.

5. Plan Limits and Downgrades

Collection limits apply to the number of items stored in your RecordRoom collection.

If your account is downgraded to a plan with a collection limit below the number of items already stored in your collection, we will not intentionally delete collection items solely because of the downgrade.

However, certain actions—such as adding additional collection items—may be restricted until your collection is within the applicable plan limit or you upgrade your account.

We may establish reasonable technical safeguards to prevent abuse of plans represented as providing unlimited storage or collection items.

6. Music and Release Metadata

RecordRoom may provide music and release information obtained from third-party or publicly available metadata sources.

This information may include artist names, album titles, release dates, formats, labels, catalog numbers, barcodes, countries, release identifiers, and related information.

Metadata may be incomplete, inaccurate, duplicated, outdated, or associated with a different pressing, edition, or release than the physical item you own.

You are responsible for selecting the release or album information that best matches your collection.

RecordRoom does not guarantee that:

  • A barcode uniquely identifies a particular release;
  • Search results will identify the exact pressing or edition you own;
  • Third-party metadata is complete or accurate; or
  • Every physical music release will be available through our search tools.

RecordRoom may allow you to add an item manually or identify an item without specifying an exact edition when precise release information is unavailable or unnecessary.

7. Third-Party Data and Services

RecordRoom may use, display, reference, or interact with information or services provided by third parties.

Third-party services may include services related to music metadata, payment processing, authentication, hosting, analytics, community features, or other functionality.

Third-party names, trademarks, data, and content remain the property of their respective owners.

RecordRoom's use of third-party data or services does not imply sponsorship, affiliation, or endorsement unless expressly stated.

Third-party services may change, restrict access, experience outages, discontinue functionality, or modify their terms. As a result, some RecordRoom features may occasionally change or become unavailable.

8. Affiliate, Partner, and Promotional Relationships

RecordRoom may participate in affiliate, partner, sponsorship, or other promotional relationships. This means that some links to third-party products or services may be affiliate links, and RecordRoom may receive a commission or other compensation if you make a qualifying purchase through those links or relationships.

Not every link on RecordRoom is an affiliate link, and the presence of an affiliate or partner relationship does not mean we endorse, recommend, or guarantee any third-party product, service, seller, or offer. You are responsible for reviewing the terms and policies of any third party you choose to purchase from.

We may also work with bloggers, podcasters, creators, retailers, or other promotional partners. Those partners may be provided with unique discount codes, promotional offers, or other materials to share with their audiences, and may receive compensation for qualifying purchases or referrals.

Affiliate commissions, partner compensation, and similar arrangements do not change the price you pay unless a discount or promotional offer is expressly stated.

9. Referral Programs and Promotional Offers

RecordRoom may from time to time offer referral programs or other promotional incentives, which may include referral discounts, account credits, promotional benefits, limited-time offers, or other disclosed incentives for referring another person to RecordRoom.

Referral terms may vary by promotion, and eligibility requirements, redemption conditions, and limits may apply. The specific terms presented with a particular referral or promotional offer control where applicable.

We may cancel, revoke, or withhold referral benefits in cases of abuse, fraud, self-referral, duplicate or artificial account creation, or other manipulation of a referral or promotional program.

We may modify, suspend, or discontinue any referral or promotional program on a prospective basis. Referral benefits have no cash value except where required by law.

10. Your Collection Data

Your RecordRoom collection may include information you enter yourself and metadata saved from available search results.

When you add an item to your collection, RecordRoom may save a snapshot of relevant metadata so that your collection record can remain useful even if the underlying metadata source later changes.

Your collection data may include information such as:

  • Artist and title;
  • Format;
  • Release information;
  • Personal notes;
  • Tags;
  • Condition;
  • Storage location;
  • Version or edition notes;
  • Uploaded artwork; and
  • Other collection-management information.

You retain ownership of the original content and information you personally create and submit, subject to the licenses necessary for us to operate the Service.

11. User-Uploaded Content

RecordRoom may allow you to upload images and other content ("User Content"), including photographs or scans used as cover images for items in your collection.

You retain whatever ownership rights you have in your User Content.

By uploading User Content, you grant 42Ten Media a non-exclusive, worldwide, royalty-free license to store, reproduce, process, resize, display, and otherwise use that content only as reasonably necessary to provide, maintain, secure, and improve the RecordRoom Service.

You represent that you have the right to upload the content or otherwise use it in connection with your personal collection.

You may not upload content that:

  • Infringes another person's copyright, trademark, privacy, publicity, or other rights;
  • Is unlawful;
  • Contains malware or malicious code;
  • Is intentionally deceptive or fraudulent;
  • Is abusive or designed to interfere with the Service; or
  • Violates these Terms.

We may remove or disable access to User Content if we reasonably believe it violates these Terms, applicable law, or the rights of another person.

12. Community Features

RecordRoom may provide users access to community features hosted at community.myrecordroom.com or another RecordRoom-designated location.

Community access is currently available to users of all RecordRoom subscription plans, including the Free plan, subject to these Terms and any additional Community Guidelines or Code of Conduct we provide.

RecordRoom community features may be provided using a third-party platform, currently Heartbeat. Your use of the community may also be subject to the applicable terms, privacy policies, content policies, and other requirements of the third-party platform provider.

Community Conduct

When participating in the RecordRoom community, you agree to interact respectfully with other members and comply with our Community Guidelines.

You may not use the community to:

  • Harass, threaten, intimidate, or abuse another person;
  • Post unlawful, hateful, obscene, or intentionally harmful content;
  • Infringe copyrights, trademarks, privacy rights, or other rights;
  • Impersonate another person or misrepresent your identity or affiliation;
  • Distribute spam, scams, malware, or deceptive promotions;
  • Collect or misuse another member's personal information;
  • Attempt to circumvent community security or moderation controls; or
  • Engage in conduct that materially disrupts the community or prevents others from participating.

User Posts and Community Content

You retain whatever ownership rights you have in content you post to the RecordRoom community.

By posting content, you grant 42Ten Media LLC a non-exclusive, worldwide, royalty-free license to host, display, reproduce, process, and otherwise use that content as reasonably necessary to operate, maintain, secure, and moderate the RecordRoom community.

Because community content is created by users, RecordRoom does not guarantee the accuracy, reliability, legality, or appropriateness of posts, recommendations, opinions, links, images, or other user-generated content.

The views expressed by community members are their own and do not necessarily represent the views of RecordRoom or 42Ten Media LLC.

Moderation

We may moderate the RecordRoom community to help maintain a useful, welcoming, and safe environment.

We reserve the right, but are not obligated, to:

  • Remove or restrict community content;
  • Issue warnings;
  • Limit posting or messaging privileges;
  • Mute or suspend community members; or
  • Permanently remove a member from the community.

We may take these actions when we reasonably believe a member has violated these Terms, our Community Guidelines, applicable law, or the rights or safety of another person.

Moderation decisions may involve judgment, and we cannot guarantee that all inappropriate content will be identified or removed immediately.

Community Access

Community access is a feature of the RecordRoom Service and is not currently a separately purchased subscription.

Access to the community may be suspended or terminated for violations of these Terms or our Community Guidelines even if your primary RecordRoom account remains active.

Similarly, termination of your RecordRoom account may result in termination of your access to the RecordRoom community.

RecordRoom may change, replace, suspend, or discontinue the community platform or individual community features in the future.

42Ten Media respects intellectual property rights.

If you believe content available through RecordRoom infringes your copyright, you may contact us with sufficient information to identify the material and explain the basis of your claim.

We may remove or restrict access to allegedly infringing content when appropriate.

Additional copyright or DMCA procedures may be provided in a separate Copyright Policy.

14. Acceptable Use

You agree not to:

  • Access or use the Service for unlawful purposes;
  • Attempt to gain unauthorized access to another user's account or RecordRoom systems;
  • Probe, scan, or test the vulnerability of the Service without authorization;
  • Circumvent plan limits, security controls, or access restrictions;
  • Use automated systems to scrape or extract substantial portions of RecordRoom or its underlying databases except where expressly permitted;
  • Interfere with the operation of the Service;
  • Upload malware or malicious code;
  • Misrepresent your identity or affiliation;
  • Use RecordRoom to violate another person's intellectual property or privacy rights; or
  • Use the Service in a manner that places an unreasonable burden on our systems.

We may take reasonable action to protect RecordRoom, its users, and third-party systems from misuse.

15. Collection Exports

RecordRoom may provide tools allowing you to export some or all of your collection information, including through CSV files.

Export functionality is provided for convenience. The organization, formatting, completeness, and compatibility of exported data may change over time.

You are responsible for maintaining any independent backups you consider important.

16. Account Termination

You may stop using RecordRoom at any time and may request deletion of your account subject to applicable legal, security, billing, and record-retention requirements.

We may suspend or terminate an account if we reasonably determine that the user:

  • Materially violated these Terms;
  • Used the Service unlawfully or fraudulently;
  • Attempted to compromise RecordRoom or another user's security;
  • Repeatedly infringed intellectual property rights; or
  • Created a material risk to RecordRoom, its users, or third parties.

Where reasonably practical, we will attempt to provide notice before terminating an account for reasons other than urgent security, fraud, legal, or abuse concerns.

17. Changes to the Service

We will continue to develop and improve RecordRoom.

Features may be added, modified, removed, or replaced over time. We may also change technical requirements or discontinue portions of the Service.

We will try to avoid changes that unnecessarily prevent users from accessing their collection data.

Nothing in these Terms guarantees that any particular feature, metadata source, integration, community platform, or third-party service will remain available indefinitely.

18. Availability

We work to keep RecordRoom available and reliable, but no online service is available without interruption.

The Service may occasionally be unavailable due to maintenance, software updates, technical problems, third-party outages, security incidents, or circumstances outside our reasonable control.

We do not guarantee uninterrupted or error-free operation.

19. No Appraisal or Professional Advice

Information provided through RecordRoom is for collection-management and informational purposes.

RecordRoom does not provide professional appraisal, investment, financial, legal, tax, insurance, authentication, or valuation advice.

References to a particular album, edition, pressing, format, or release should not be interpreted as a representation regarding authenticity, rarity, condition, ownership, or monetary value.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECORDROOM AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE."

42TEN MEDIA LLC DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY OTHER WARRANTIES THAT MAY ARISE BY LAW, COURSE OF DEALING, OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR THAT MUSIC OR RELEASE METADATA WILL ALWAYS BE ACCURATE OR COMPLETE.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 42TEN MEDIA LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF RECORDROOM.

THIS INCLUDES, WITHOUT LIMITATION, LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR LOSS ARISING FROM RELIANCE ON COLLECTION OR RELEASE METADATA.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 42TEN MEDIA LLC'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF:

  1. The amount you paid to RecordRoom during the twelve months immediately preceding the event giving rise to the claim; or
  2. $50.

These limitations apply regardless of the legal theory asserted and even if we have been advised of the possibility of damages.

Some jurisdictions do not permit certain limitations of liability, so portions of this section may not apply to you.

22. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless 42Ten Media LLC and its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, and reasonable expenses arising from:

  • Your unlawful use of the Service;
  • Your material violation of these Terms;
  • User Content or community content you upload or submit; or
  • Your infringement of another person's rights.

This obligation does not apply to the extent a claim results from the negligence, willful misconduct, or violation of law by 42Ten Media LLC.

23. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles.

To the extent permitted by applicable law, disputes arising from these Terms or the Service will be brought in an appropriate state or federal court located in Ohio.

Nothing in these Terms limits any consumer rights that cannot legally be waived.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes to RecordRoom, our business practices, legal requirements, or other circumstances.

When we make material changes, we will provide reasonable notice through the Service, by email, or through another appropriate method.

The updated Terms will state their effective or "Last Updated" date.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

25. Electronic Communications

By using RecordRoom, you agree that we may provide notices, disclosures, transaction information, and other communications electronically, including through email or the Service, subject to applicable law.

You are responsible for keeping your account contact information current.

26. Entire Agreement

These Terms, together with our Privacy Policy, Community Guidelines, and any additional terms expressly presented in connection with a particular feature or promotion, constitute the agreement between you and 42Ten Media LLC regarding your use of RecordRoom.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

Our failure to enforce a provision of these Terms does not waive our right to enforce it later.
